1.APPLICATION, ACCEPTANCE AND PRIORITY

These Terms apply to every quotation, booking, shipment, job, invoice and service arranged or provided by Global Outlook L.L.C. ("GLO"). Signature, written or electronic approval, payment, booking instruction, tender of cargo or use of the service constitutes acceptance. Any Special Terms & Conditions expressly stated for a specific quotation or job shall prevail only to the extent of a direct conflict; otherwise these General Terms remain fully applicable.

2.ROLE OF GLO AND THIRD PARTIES

Unless GLO expressly agrees otherwise in writing, GLO acts as a freight forwarder, intermediary or agent arranging services through independent carriers, agents, customs brokers, warehouses and other service providers. The Customer authorizes GLO to appoint or substitute such parties and to contract with them subject to their applicable tariffs, transport documents, terms, exclusions and liability limits. Where GLO expressly acts as principal or contracting carrier, its liability remains subject to the applicable mandatory law and transport or service conditions.

3.QUOTATIONS, RATES AND BOOKING

All quotations and rates are subject to their stated validity, final confirmation, serviceability, carrier acceptance, space, equipment and operational availability at the time of booking. Unless expressly stated as fixed, rates are provisional and may be revised before booking where carrier rates, surcharges, exchange rates, routing or other underlying costs change. No booking is binding until confirmed by GLO.

4.SHIPMENT INFORMATION, WEIGHT AND MEASUREMENT

Rates are based on the information supplied by the Customer, including commodity, quantity, pieces, weight, dimensions, volume, value, origin, destination, addresses, service requirements and cargo characteristics. The Customer guarantees the accuracy and completeness of such information. Carrier or service-provider verified weights, dimensions, quantities and chargeable measurements shall be final for billing purposes. Any discrepancy may result in automatic re-rating and additional charges.

5.ADDITIONAL AND THIRD-PARTY CHARGES

Unless expressly included in writing, rates exclude duties, taxes, government fees, inspections, scanning, security charges, permits, certificates, customs examinations, terminal charges, storage, demurrage, detention, waiting, additional handling, weighing, redelivery, return, disposal and other carrier, authority or third-party charges. Any additional or unforeseen cost incurred in performing the service shall be payable by the Customer.

6.PAYMENT, NO SET-OFF AND SUSPENSION

Payment is due according to the quotation or invoice. If no payment term is stated, payment is due in cleared funds before dispatch, release or delivery. Supplemental invoices and post-shipment adjustments are payable within three calendar days. All amounts shall be paid without deduction, counterclaim, set-off or withholding except where required by mandatory law. GLO may require advance payment or security and may suspend services or withhold cargo or documents where amounts are overdue.

7.RIGHT OF RETENTION AND GENERAL LIEN

To the fullest extent permitted by applicable law, GLO shall have a general right of retention and lien over goods, documents and other property under its control for all amounts due from the Customer, including storage and recovery costs. GLO may store such goods at the Customer's cost and enforce its rights in any manner permitted by law following reasonable notice where required.

8.CUSTOMER WARRANTIES AND CARGO DECLARATION

The Customer warrants that it owns the goods or is legally authorized to ship them and that all goods are lawful, correctly described and properly declared. The Customer shall not tender stolen, counterfeit, prohibited, restricted or undeclared goods. GLO may refuse, inspect, open or otherwise deal with cargo where reasonably necessary or required by carriers or competent authorities. All consequences arising from inaccurate, incomplete or false declarations are for the Customer's account.

9.DANGEROUS, RESTRICTED AND SPECIAL CARGO

Dangerous goods, batteries, chemicals, liquids, gases, perishables, medicines, food, live animals, valuables, weapons, controlled goods, oversized cargo, temperature-controlled cargo and any other restricted or special cargo must be fully declared and accepted by GLO in writing before booking. The Customer is responsible for all classifications, packaging, labels, approvals and documentation. GLO may refuse, return, remove, surrender or otherwise deal with such cargo where legally or operationally necessary, at the Customer's risk and cost.

10.PACKING, MARKING, LOADING AND ACCESS

Unless expressly included in the quoted scope, the Customer is responsible for suitable export-standard packing, securing, marking, labelling, loading and unloading. GLO is not responsible for loss or damage arising from insufficient or defective packing, concealed contents or pre-existing defects. The Customer shall provide safe and lawful access, adequate space, parking, lifting facilities and site conditions required for collection, delivery, relocation or handling.

11.DOCUMENTATION, CUSTOMS, DUTIES AND COMPLIANCE

The Customer is responsible for providing complete and accurate commercial invoices, packing lists, values, descriptions, certificates of origin, permits, licences, identity documents and customs information. GLO may rely on information supplied without independent verification. Unless expressly agreed otherwise, customs clearance is arranged by GLO as agent. Duties, taxes, customs assessments, fines, penalties, government charges and amounts advanced by GLO are payable by the Customer. Eligibility for any exemption, relief or preferential treatment remains the Customer's responsibility.

12.INSURANCE

Cargo, transit, relocation or other insurance is not included unless separately quoted, expressly confirmed in writing by GLO and the applicable premium paid. Where GLO arranges insurance, it acts solely as intermediary and the insurance remains subject to the insurer's policy terms, exclusions, deductibles and claim procedures.

13.METHOD, ROUTE, CARRIER AND SUBSTITUTION

Unless expressly agreed otherwise, GLO may select or substitute carriers, agents, routes, ports, airports, border crossings, means of transport, consolidation arrangements, storage locations and operational procedures where reasonably required. Transshipment, consolidation and intermediate storage may be used. No particular carrier, vessel, flight, vehicle or route is guaranteed unless expressly confirmed in writing.

14.TRANSIT TIMES, DELAYS AND FORCE MAJEURE

ETDs, ETAs, transit times, collection dates and delivery dates are estimates unless expressly guaranteed in writing. GLO is not liable for delay unless liability has been expressly assumed in writing and cannot lawfully be excluded. GLO shall not be responsible for consequences arising from customs or governmental action, weather, war, civil disturbance, strikes, port or airport congestion, border delays, capacity or equipment shortages, carrier disruption, sanctions, epidemics, natural events, cyber or system failures or other circumstances beyond its reasonable control.

15.DELIVERY, WAITING, STORAGE, DEMURRAGE AND DETENTION

Free time is subject to the relevant carrier, terminal, warehouse or service-provider rules. Waiting time, demurrage, detention, storage, port, airport, container, trailer, vehicle, handling and similar charges caused by the Customer, consignee, authorities or circumstances outside GLO's control are additional and payable by the Customer. The Customer shall ensure that the consignee is available and able to clear and receive the goods promptly.

16.CHANGES, CANCELLATION AND UNDELIVERABLE CARGO

Any cancellation or amendment after booking, collection or cargo tender is subject to all costs already incurred and any carrier, supplier or GLO cancellation or amendment charges. Cargo that cannot be delivered or cleared due to refusal, unavailable consignee, incomplete documentation, prohibited contents, unpaid charges or lack of instructions may be held, stored, returned, surrendered, abandoned or disposed of to the extent permitted by law. All resulting costs are payable by the Customer.

17.LIABILITY AND EXCLUSIONS

To the fullest extent permitted by mandatory law: (a) When acting as agent or intermediary, GLO is liable only for proven direct loss caused by its failure to exercise reasonable care in selecting or instructing third parties and is not liable for the independent acts or omissions of carriers, agents, warehouses or other service providers. (b) When GLO acts as principal or contracting carrier, liability is governed by the applicable mandatory transport law, international convention and transport or service terms. (c) Where no mandatory higher liability limit applies, liability for loss of or damage to goods shall not exceed 2 SDR per kilogram of the gross weight of the goods lost or damaged. (d) Liability for delay shall not exceed GLO's remuneration for the affected service. (e) GLO is not liable for indirect, consequential, special or economic loss, loss of profit, market, opportunity, use, goodwill, data or sentimental value. (f) GLO is not liable for inherent vice, ordinary wear, defective or insufficient packing, acts or omissions of the Customer or consignee, undeclared valuables or dangerous goods, or concealed or pre-existing defects. Nothing in these Terms excludes liability that cannot lawfully be excluded.

18.CLAIMS AND TIME LIMITS

Visible loss or damage must be recorded on the delivery receipt when the goods are received. Concealed loss or damage must be notified to GLO in writing within six consecutive days after delivery. Other claims must be notified in writing within fourteen days after the Customer became or reasonably should have become aware of the event. Goods and original packaging must be preserved for inspection. Unless mandatory law requires otherwise, GLO shall be discharged from liability unless legal proceedings are commenced within nine months from delivery, the date delivery should have occurred, or the event giving rise to the claim. Submission of a claim does not suspend the Customer's payment obligations.

19.CUSTOMER INDEMNITY

Except to the extent GLO is liable under Clause 17, the Customer shall indemnify and hold harmless GLO, its employees, agents and subcontractors from all duties, taxes, fines, penalties, losses, costs, expenses, injury, property or environmental damage and third-party claims arising from the goods, inaccurate or incomplete information, instructions, packing, dangerous or undeclared cargo, customs or regulatory non-compliance, consignee actions or breach of these Terms. The Customer shall also indemnify GLO against General Average, salvage and related security requirements.

20.LANGUAGE, GOVERNING LAW, JURISDICTION AND MANDATORY LAW

The English and Arabic versions are intended to have the same meaning. In the event of inconsistency, the Arabic version shall prevail. These Terms and the relationship between the Customer and GLO are governed by the laws of the State of Kuwait, and the competent courts of Kuwait shall have exclusive jurisdiction, subject always to any mandatory international convention or law applicable to the relevant transport or service. Any provision that conflicts with mandatory law shall be ineffective only to the minimum extent necessary, without affecting the remaining provisions.
